Kayno Labs' Terms of Service
End User License Agreement (EULA)

Introduction

These Terms of Service ("Agreement") govern your access to and use of Douglass, a product offered by Kayno Labs, Inc. ("Kayno Labs," "we," "us," or "our"). By using Douglass, you acknowledge and agree to these terms. If you are accepting on behalf of a company or entity, you represent that you have authority to bind such entity.

1. Introduction

Kayno Labs provides an AI-powered analytics platform, Douglass, that helps users query, structure, and interpret unstructured data.

2. Age and Eligibility

You must be at least 16 years old and have the legal capacity to form a binding contract. You are responsible for maintaining the confidentiality of your account credentials.

3. Temporary Use License

We grant you a limited, non-exclusive, non-transferable license to use Douglass for your internal business or personal use, subject to this Agreement.

4. Your Content

You are solely responsible for the data and content you upload to Douglass. By submitting data, you grant Kayno Labs a license to process and use it to deliver the Services and improve functionality. We may remove content in violation of our policies.

5. Plans and Fees

Douglass may offer free and paid plans. Payment is due in advance for paid services. You are responsible for keeping payment information up to date. Kayno Labs may change pricing upon notice.

6. Acceptable Use

You agree not to:

  • Use Douglass for illegal purposes;
  • Upload or distribute harmful or unlawful content;
  • Reverse engineer or attempt to extract source code;
  • Circumvent platform usage limits;
  • Use Douglass to train competitive models.

7. Security and Compliance

You are responsible for securely configuring your environment and not submitting sensitive data (e.g., protected health information) unless authorized by us. We implement security safeguards but make no guarantees.

8. Data Protection

We comply with applicable data protection laws and maintain reasonable safeguards to protect your data. You retain ownership of your data.

8.1 International Transfers

You consent to the transfer of your data to the United States or other jurisdictions as necessary to provide the Services.

8.2 Aggregate Data

We may use anonymized, aggregated data to improve our platform, products, and for research purposes.

9. Support

Support may be available depending on your plan. All support is provided on a commercially reasonable efforts basis.

10. Representations and Warranties

You represent that:

  • You have the necessary rights to your content;
  • Your content does not infringe on any third-party rights;
  • You will use Douglass in accordance with all laws.

11. Indemnification

You agree to indemnify Kayno Labs from any claims arising from your content, misuse of the Services, or violation of these Terms.

12. Confidentiality and Proprietary Rights

Each party agrees to protect the other's confidential information. Kayno Labs retains ownership of all platform IP, improvements, and feedback provided by users.

13. Term and Termination

This Agreement remains in effect until terminated. Either party may terminate at any time. Upon termination, your license ends and data may be deleted. Certain provisions survive termination.

14. Disclaimer

The Services are provided "as is." We disclaim all warranties, express or implied, including fitness for a particular purpose and non-infringement.

15. Limitation of Liability

To the fullest extent permitted by law, Kayno Labs shall not be liable for indirect or consequential damages. Our liability is limited to the greater of $100 or the fees you paid in the past six months.

16. Miscellaneous

  • This Agreement is governed by the laws of the State of Delaware.
  • Any dispute will be resolved through binding arbitration in Delaware.
  • Changes to these Terms will be posted and your continued use constitutes acceptance.
  • You may not assign these Terms without our consent.
